Terms and Conditions

These Terms of Business regulate all dealings between BW3 Web Design of 9 Hotspur Street, Heaton, Newcastle upon Tyne ("BW3.co.uk") and any individual or entity having entered a customer contract with BW3.

1. Service Levels

BW3 will provide a timetable for the provision of services and will endeavour to adhere to this.
BW3 will act professionally at all times to preserve the customer's intellectual property or other rights in its information or materials ("data").
BW3 will comply with reasonable requests of the customer and deal cordially with its representatives.

2. Client Contract: The Customer's Responsibility

The customer's signature on the customer contract is evidence that it will:

  • provide all data reasonably required by BW3 to complete the contract within a reasonable period of time. If the client does not supply BW3 with complete text and graphics content, for all Web pages contracted for, within six weeks of the date this contract was signed, the entire amount of the contract becomes due and payable. If the client has not submitted complete text and graphics content within two months after signing of this contract, an additional continuation fee may also be assessed each month until the material is delivered.
  • be responsible for the accuracy and comprehensiveness of the data.
  • indemnify BW3 against any liability it incurs to any third party arising from its use of the data in carrying out its obligation under the customer contract.
  • warrant that it owns all data and has absolute rights to use it for the purposes of the customer contract.
  • maintain a retrievable record, copy or original, of all data provided to BW3 which will not be responsible for loss or damage to any data.
  • use the product or service provided by BW3 only for the purposes of its own business.
  • not sell or franchise the product or service to any third party.

3. Services Charge of BW3

  • the customer will be invoiced in accordance with the timetable in the Customer Contract.
  • payment is due immediately on the invoice.
  • interest will be charged (at the rate of 2% above the base rate at Barclays Bank Plc. at the date of invoice) on the outstanding balance of all invoices which are overdue for a period in excess of 30 days. (see Customer Contract)
  • Any work undetaken remains the property of BW3 until all outstanding payments are received

4. Limitation of Liability

BW3's liability shall be strictly limited to any charge specified in the Customer Contract. BW3 will have no further liability for any loss, damage, costs or liability whatsoever which the customer may incur.

BW3 shall not be responsible for any loss or failure caused by the default of any internet service provider or the incompatibility of its software with any third party software.

In the event of a failure of software, BW3 shall be given a reasonable opportunity to examine the relevant site and/or code and to effect repairs or modifications at BW3's discretion. BW3 will render an invoice for any such service caused by factors beyond its reasonable control.

5. Termination

BW3 will use its reasonable endeavours to complete its obligations under the Customer Contract. If BW3 is unable to do so for reasons beyond its reasonable control it may terminate the Customer Contract by giving 10 days notice in writing. In such circumstances, BW3 shall render an invoice for such part of the service or product that has been delivered or completed.


6. Website Hosting

Although you are unlikely to be affected, please remember that there are restrictions on the amount of storage and bandwidth with any hosting arrangement - 20MB storage space and 200MB data transfer each Month per domain, unless otherwise agreed. If required, you can purchase more bandwidth or storage space at very reasonable cost - however, should you regularly exceed your allotted quota and fail to upgrade, it may be necessary to suspend your hosting until this can be resolved.


7. The Customer Contract: Legal Issues

  • the Customer Contract shall incorporate the term of business.
  • the Customer Contract shall be governed by English Law. Any dispute to be addressed via the County Court at Newcastle upon Tyne.
  • the Customer Contract incorporating these terms of business shall constitute the tentative agreement between BW3 and its customer and may not be varied except in writing signed by the proprietor.
  • to the extent permitted by law, all other terms, conditions or warranties express or implied are hereby excluded.
  • if any provision of the Customer Contract is ruled by judicial authority to be invalid or excessive, all other provisions shall remain valid.

BW3 is owned by Ema Wright and Paul J White in association with Martin Fletcher.
